Seller Agreement
Effective Date: 10/1/2026
This Seller Agreement (the "Agreement") is between you, an artisan selling on Unique Artisans Marketplace (the "Service"), and Cominium Ventures, LLC ("Cominium," "we," "us," or "our"). It applies in addition to our Terms of Service, Privacy Policy, and Refund Policy. By applying to sell or opening a shop, you agree to this Agreement.
1. Eligibility and Approval
- You must be at least 18 years old, located in the United States, and able to enter into a binding contract. If you sell on behalf of a business, you confirm that you are authorized to bind it.
- Every seller must apply and be approved. We review applications at our discretion and may approve or decline any application.
- Before your shop can go live, you must complete Stripe onboarding and provide a ship-from address.
2. Handmade Requirement
Unique Artisans is for handmade work. You confirm, and continue to confirm each time you list an item, that you personally make every item you sell by hand. The following are not allowed:
- Items generated with AI, or listings using AI-generated images that misrepresent the item
- Mass-produced, dropshipped, or resold items
- Prints or reproductions presented as original handmade work
3. Listings and Prohibited Items
You are responsible for your listings. Descriptions, photos, materials, dimensions, and prices must be accurate and must not be misleading. You may not list items that:
- Are illegal to sell or ship, or that require a license you do not have
- Infringe anyone's copyright, trademark, or other rights
- Are weapons, drugs or drug paraphernalia, hazardous materials, or recalled products
- Promote hate, violence, or discrimination
- Violate Stripe's or our shipping carriers' restricted-items rules
We may remove listings or hide your shop if we believe they violate this Agreement.
4. Fees
- Commission: Cominium charges a commission of 8% of the item subtotal of each order. There are no listing or monthly fees.
- Shipping: Buyers pay shipping at checkout, and Cominium keeps that shipping charge. In return, Cominium pays for the shipping label you buy through your dashboard for the service the buyer chose.
- Payment processing: Cominium pays the payment processing fees on completed sales, except for refunds as described in Section 7.
- Changes: We may change our fees with at least 30 days' notice. Changes do not apply to orders placed before they take effect.
5. Payments and Payouts
- Payments are processed by Stripe. To receive payouts, you must keep a Stripe connected account in good standing, and you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement.
- When a buyer pays, Cominium collects the payment and transfers the order total, minus our commission and the shipping charge, to your Stripe account. Stripe pays out your balance to your bank on its payout schedule.
- You authorize Cominium to deduct refunds, chargebacks, and amounts you owe under this Agreement from your Stripe balance or future transfers.
6. Shipping Orders
- You agree to ship each order within 5 business days of payment, unless your listing clearly states a longer handling time.
- You must buy shipping labels through your dashboard, using the service level the buyer paid for, so that tracking is sent to the buyer automatically.
- You are responsible for packaging items so they arrive undamaged.
- You may use buyers' names and addresses only to fulfill their orders. You may not add buyers to mailing lists or use their information for any other purpose without their consent.
7. Cancellations, Refunds, and Disputes
- You agree to honor our Refund Policy, including refunding buyers for items that do not arrive or that are significantly different from their listings.
- You issue refunds from your dashboard. Refunds return the full order total to the buyer.
- When you refund an order, we return our commission to you. You bear the payment processing fee for that order and, if a shipping label was already bought, the shipping charge. The dashboard shows this amount before you confirm the refund.
- If an item becomes unavailable after the buyer pays because of a system error, Cominium refunds the buyer automatically and covers those costs.
- If a buyer disputes a charge with their bank, you agree to provide information we request, such as tracking and communications, promptly. If a dispute is lost because you did not ship, shipped an item significantly different from its listing, or did not respond to our request, we may recover the disputed amount and related fees from you.
- If you do not respond to a buyer's valid refund request within a reasonable time, we may issue the refund on your behalf and recover the amount from you.
8. Taxes
Where marketplace facilitator laws require it, Cominium calculates, collects, and remits sales tax on orders placed through the Service. You should not collect sales tax on those orders yourself. Sales tax collected by Cominium is not part of your payout.
You are responsible for determining, reporting, and paying any other taxes on your sales, including income taxes. Stripe may issue you a Form 1099-K as required by law, and you agree to provide accurate tax information when asked.
9. Your Content
You keep ownership of your shop content, including photos, descriptions, and branding. You grant Cominium a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt (for example, resize or crop), and distribute that content to operate and promote the Service and your shop, including in emails, social media, and advertising. This license ends when you remove the content or close your shop, except for content already in use in promotional materials or that we must keep for legal reasons.
10. Suspension and Termination
- You may close your shop at any time by contacting us. You must still fulfill or refund any open orders.
- We may suspend or close your shop, remove listings, or hold transfers if you violate this Agreement, receive excessive disputes or complaints, or if we need to in order to protect buyers or comply with the law.
- Sections 4, 5, 7, 8, 11, and 12 survive termination for any amounts owed.
11. Independent Relationship
You are an independent seller. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between you and Cominium.
12. Indemnification and Liability
You agree to indemnify and hold harmless Cominium and its officers, members, and employees from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your items, your listings, your shipping, or your violation of this Agreement or of any law. The disclaimers, limitation of liability, and governing law sections of the Terms of Service apply to this Agreement.
13. Changes to This Agreement
We may update this Agreement from time to time. We will post the updated Agreement on this page, update the "Effective Date" above, and notify you by email of material changes at least 30 days before they take effect. If you continue to sell after changes take effect, you accept the updated Agreement.
